Terms of Service

By using this website, you agree to these terms. If you do not agree, please do not use it. Dalton Elite Solutions LLC is a single-member New York limited liability company based in the Hudson Valley, NY, providing business consulting and website services to individuals and businesses.

These terms govern use of this website and the website service terms below. The scope, deliverables, schedule, and final price of an engagement are confirmed with Rob before work begins. A separate written agreement may add to or replace these terms for a particular engagement; where they conflict, that agreement controls.

Our consulting, content, articles, Business Health Check, Cash Runway Calculator, and AI chat assistant are for general informational and educational purposes. They are not legal, tax, accounting, financial, investment, or medical advice, and do not create a licensed professional-client relationship.

Tools depend on the information you enter and use simplified assumptions. AI-generated answers may be incomplete or incorrect. Verify important information and consult appropriately qualified professionals before making decisions. We do not provide tax preparation or replace your accountant, attorney, or financial adviser.

We do not guarantee revenue, profitability, search rankings, leads, bookings, or any other outcome. Results depend on your decisions, execution, business circumstances, market conditions, and other factors outside our control.

The one-time website build fee is $500, payable upfront. The build fee is non-refundable once work begins. The agreed build scope and timeline are confirmed before work starts. Additional work requires a separately agreed scope.

Hosting costs $19.99 per month. You may cancel hosting at any time by emailing us. Cancellation stops future billing. There are no partial-month refunds. Hosting ends at the end of the paid period unless otherwise agreed; arrange replacement hosting if you want the website to remain available.

Updates and fixes cost $99 per hour. The scope and Rob's approval must be confirmed in writing before work begins. You must also authorize the agreed work and charges. Updates are not included in monthly hosting.

You are responsible for providing timely, accurate content, business details, approvals, and access needed for the project. Review deliverables and tell us about corrections promptly. Delays in providing materials or approvals may affect the timeline.

You must own or have permission to use every image, logo, text, trademark, and other material you provide. You are responsible for the accuracy and lawfulness of your content, your business activities, and any industry-specific requirements. Do not send passwords, payment card details, or sensitive personal information through public forms or chat.

Content on the Dalton Elite Solutions website, including our original text, branding, and materials, belongs to Dalton Elite Solutions LLC or its licensors. You may use it for your personal or internal business reference, but may not reproduce, sell, or distribute it without permission, except as allowed by law.

Content you own and supply remains yours. Ownership of the website we deliver to you transfers upon full payment. Third-party software, fonts, stock media, hosting platforms, and other licensed components remain subject to their own licenses and terms; ownership does not transfer rights we do not own.

Payments are processed through Stripe and are subject to Stripe's applicable terms. We do not store full payment card numbers on this website. You agree to pay the agreed fees and provide accurate billing information. Any additional payment schedule is confirmed in writing for your engagement.

Do not use this site to break the law, violate another person's rights, submit misleading or abusive content, send spam, upload malicious code, probe security, or disrupt the site or chat. Do not attempt unauthorized access to information or systems. We may restrict access when reasonably necessary to protect the site, its users, or our business.

We rely on third-party hosting, cloud infrastructure, payment processing, and other tools. Their services and linked websites have their own terms and policies. We do not control their availability, content, or practices and are not responsible for changes or interruptions caused by them.

To the extent permitted by law, this website, its information, tools, and AI chat are provided as is and as available, without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not promise uninterrupted, secure, or error-free access. Any express commitments in a signed service agreement remain subject to that agreement.

To the fullest extent permitted by law, Dalton Elite Solutions LLC's total liability arising out of this website or our services is capped at the amounts you paid to us in the 12 months before the event giving rise to the claim.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost business, or lost data. These limits do not exclude liability or rights that cannot legally be excluded or limited.

To the extent permitted by law, you agree to indemnify and hold Dalton Elite Solutions LLC harmless from third-party claims, losses, and reasonable expenses arising from your unlawful use of the site, your breach of these terms, or materials you provide that infringe another person's rights. This does not require you to cover claims caused by our own unlawful conduct.

Dalton Elite Solutions LLC and Angels on Call Homecare are separate legal entities. References to Angels on Call Homecare describe Robert Dalton's executive operating experience. Awards, accreditations, and recognitions earned by Angels on Call Homecare are organizational achievements reflecting the work of that organization's full team under Robert's leadership, and are not personal awards.

These terms are governed by New York State law, without regard to conflict-of-law rules. Disputes will be brought in courts located in New York State, subject to any mandatory rights or jurisdiction rules that apply to you. If a provision is unenforceable, the remaining provisions continue to apply.

We may update these terms and will revise the last-updated date when we do. Changes apply prospectively; they do not change an existing signed agreement without agreement from both parties.
